It needs to be clean and free of grease, so wash with TSP, sold at home centers, then if it is shiny, hit it with gloss cutter or sand with 150 grit sand paper. Prime with a primer that is tinted to match your top coat and put on a 100% acrylic top coat in your choice of color and gloss.
I would seal it 1st with a primer like Kilz. then once its dry paint over with a semi gloss paint in the color of your choice
You need to use a primer on the walls and, if there are indentations in the paneling, you need to fill them in. Then you can sand, get the walls as smooth as possible and then paint. There is also a type of wallpaper you can buy to put up over the paneling before you paint it

Since your paneling has probably been up for years, wash it first. Tape up the trim, prime (1-2 coats) then 2 coats of color.

There are many different paneling surfaces. Some you can just paint with, for instance, Duration from Sherwin Williams, it's a self primer or a latex bonding primer. Some surfaces may need an oil-based primer like Pro-Block alklyd primer from SW. Lastly, there are those surfaces that will not take any primer mentioned above. For that I use Wall and Wood primer from SW. Takes 24 hours to dry. It's worth making this priming step count, peeling paint from primer that doesn't take is one of the biggest and messiest painting project you'll ever get into! All of these primers can be topcoated with a latex paint of your choice.
Clean and light sand just to dull the shine if it has one. Prime with Pittsbugh Seal grip Oil Primer for best results. Then you can use a latex product over the top of that
